Terms of Service

1. Acceptance of Terms

By accessing or using ThreadReady ("Service"), operated by Lambda Coffie LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ThreadReady is software for embroidery shops. The Service includes a customer-facing kiosk where your customers personalize and approve embroidery designs with live stitch previews, a web dashboard for managing designs, fonts, threads, pricing, and orders, stitch file downloads, and API and webhook access. "You" means the shop or business that holds a ThreadReady account; "your customers" means the people who use your kiosk.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to transmit malware or malicious content
• Resell or redistribute the Service without authorization

5. Intellectual Property

All content, features, and functionality of the Service are owned by Lambda Coffie LLC and are protected by intellectual property laws. You retain ownership of the data you upload to the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

6.1 Customer Data

When your customers use your kiosk, the Service collects information on your behalf, such as names, email addresses, phone numbers, the text and design choices they enter, and their design approvals ("Customer Data"). You control what your kiosk collects and are responsible for providing any notices to, and obtaining any consents from, your customers that applicable law requires. We process Customer Data only to provide the Service to you, as described in our Privacy Policy, and you retain ownership of it.

7. Payment Terms

Subscriptions are billed in advance on a recurring basis after any free trial ends. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: Paddle processes payments, issues invoices, handles sales tax and VAT, and provides customer service inquiries and returns related to payment. Your purchase is also subject to Paddle's buyer terms. Failure to pay may result in suspension or locking of your workspace.

Payments your customers make to you for embroidery work are between you and your customers; ThreadReady does not process those payments.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law, ThreadReady shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms. You may cancel your account at any time through your account settings.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated terms.

12. Referral Program

ThreadReady offers a referral program that allows users to earn rewards by referring new customers.

12.1 Eligibility

The referral program is available to all users with an active ThreadReady account in good standing.

12.2 Referral Rewards

• Referrer Credit: When a referred user subscribes to a paid plan, the referrer receives a credit toward their ThreadReady subscription. The current reward is $10 USD per successful referral.
• Referee Benefit: New users who sign up through a referral link receive an extended free trial period.

12.3 Credit Terms

• No Cash Value: Referral credits have no cash value and cannot be redeemed, transferred, or exchanged for cash or any other form of payment.
• Subscription Use Only: Credits may only be applied to ThreadReady subscription fees. They are taken off your upcoming subscription payments automatically, and each payment leaves a small minimum amount to pay, with any remaining credit carrying forward to later payments. Credits are used only when a payment completes.
• No Active Subscription: If you have no paid subscription, including during a trial or after cancelling, your unused credits stay on your account and apply again once you have a paid subscription.
• Reversal: Credits may be reversed if the referred customer is refunded. A reversed credit that was already used is deducted from your future credits.
• Non-Transferable: Credits are non-transferable between accounts.
• No Expiration: Referral credits do not expire. If you cancel or stop paying, your unused credits stay on your workspace and apply again if you come back to a paid subscription.
• Deleted Workspaces: Credits belong to the workspace that earned them, so they are permanently deleted, with no payout, if that workspace is deleted. That happens when a workspace you closed is purged after its 30-day restore period, or when a locked workspace is purged after the data retention period (90 days after it locks, with email notices first).

12.4 Swag Rewards

Users who reach certain referral milestones may be eligible for physical merchandise rewards ("swag"). Swag rewards:

• Are subject to availability and may be substituted with items of similar value
• Require a valid shipping address to be provided
• May take 4-8 weeks for delivery
• Are limited to one reward per milestone per account

12.5 Program Rules

• Self-referrals (referring your own accounts) are prohibited
• Creating fake, duplicate, or fraudulent accounts to earn referral rewards will result in immediate disqualification from the program and forfeiture of all pending rewards
• Referral links may not be posted on coupon, deal, or discount aggregator websites
• Fraudulent or abusive referral activity will result in forfeiture of rewards and possible account termination
• We reserve the right to modify or terminate the referral program at any time
• We reserve the right to withhold or revoke rewards if we determine referral activity violates these terms

12.6 Tax Responsibility

You are responsible for any taxes applicable to rewards received through the referral program.
